Please read these Terms of Use carefully before using this site. By accessing this web site and/or using this web site and/or downloading of materials from this site, you agree to be bound by these Terms of Use, the documents referred to on it and/or the laws and regulations and your use constitutes agreement to the Terms of Use. If you do not agree to be bound by these terms and/or the laws and regulations, you are not authorized to access the site and/or use the site or materials or services, and you are required to exit this site.

Who we are

General

ST provides this website to you, subject to these Terms of Use for the website and other websites that are operated and/or controlled by ST or that are affiliated or linked with this site (collectively “the ST Sites”) and all the information, communications, drawings, photos, text, and other materials and services found on the ST Sites (collectively “Materials”), is intended for the lawful use of ST’s customers, and those authorized employees of ST’s customers. All rights and licenses granted to you hereunder are personal to you and shall not include any right to grant sublicenses to any third party except as maybe expressly set forth herein.

ST reserves the right in its sole discretion to refuse or terminate access to the ST Sites at any time. Permission to use the ST Sites terminates automatically if you breach any of these Terms of Use.

Accessing the ST Sites as a guest

Access to the ST Sites is permitted on a discretionary basis, and we reserve the right to withdraw or amend the functionalities we provide on our site without notice. We may also restrict access to some parts of the ST Sites, or the entire ST Sites from time to time. We will not be liable if, for any reason, an ST Site or any of its functionality is unavailable at any time or for any period.

Accessing the ST Sites as a registered user

The access to certain products and services offered through the ST Sites requires that you register and create an account.

We reserve the right to withdraw or amend the functionalities we provide to registered users on the ST Sites without notice. To the extent practicable and appropriate, we will, however, inform registered users of these changes. We will not be liable if, for any reason, the ST Sites or any of their functionalities is unavailable at any time or for any period. From time to time, we may restrict access to any of the ST Sites (in whole or part) to users who have registered with us.

When creating an account you will choose a user name and password and provide such additional pieces of information as may be required. All such information must be treated as confidential and you must not disclose it to any third party. We have the right to disable any user name or password, at any time, if you have failed to comply with any of the provisions of these Terms of Use.

Your account is personal to you. On creating the account, you represent that all the information you have provided is true and accurate. If any information that you have provided to us is inaccurate, it is your responsibility to amend such information as soon as possible, using the related preference page. You agree not to sell or transfer your account or any part of it to any third party. You are responsible for making all arrangements necessary for you to have access to the ST Sites.

You must not create an account or access our site through automated means, including but not limited to using an automated device, spider, cache, crawler or scraper.

You can terminate and delete your account at any time by submitting a request to support.policies@st.com.

Acceptable use of the ST Sites

You may use our site only for lawful purposes. You may not use the ST Sites:

to set up a user profile if you are under 18 years old;
in any way that breaches any applicable law or regulation, is unlawful or fraudulent;
for the purpose of harming or attempting to harm others in any way;
to send, knowingly receive, download, use or re-use any material which does not comply with these Terms of Use, our Website Privacy Policy and our Cookies Policy;
to post any content which:
- is defamatory of any person;
- is obscene, offensive, hateful or inflammatory;
- contains sexually explicit material;
- promotes violence;
- promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
- infringes any copyright, database right or trade mark of any other person;
- is likely to deceive any person;
- is would breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
- promotes any illegal activity;
- is threatening or abusive, or invades another’s privacy, or causes annoyance, inconvenience or needless anxiety;
- is likely to harass, upset, embarrass, alarm or annoy any other person;
- is used to impersonate any person, or to misrepresent your identity or affiliation with any person;
- gives the impression that it emanates from ST, if this is not the case; or
- advocates, promotes or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.
to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;
to reproduce, duplicate, copy or re-sell any part of the ST Sites in contravention of the provisions of these Terms of Use, our Website Privacy Policy and our Cookies Policy;
to access without authority, interfere with, damage or disrupt any part of the ST Sites, equipment or network on which the ST Sites are stored, any software used in the provision of the ST Sites; or any equipment or network or software owned or used by any third party.

Restrictions on use of content

The Materials contained in the ST Sites are protected by copyright laws, international copyright law treaties, and other intellectual property laws and treaties (“IP Rights”). Except as stated herein, the Materials may not be reproduced, uploaded, linked to another URL, copied, transmitted, modified, displayed or distributed in any form without ST’s prior written permission and the unauthorized copying, displaying or other use of any content (by linking, framing, or any other method) from the ST Sites is a violation of the law. You acknowledge having been advised by ST that the Materials are protected by a variety of laws.

You are hereby granted permission to access the Materials from the ST Sites in whole or in part, solely for your personal use, to view and browse through the ST Sites or order products from the ST Sites. If pursuant to an authorisation from ST, you download software from the ST Sites, the software, including all code, files, images, contained in or generated by the software, and accompanying data, are deemed to be licensed to you by ST. Neither title nor intellectual property rights are transferred to you, but remain with ST, who owns full and complete title to the IP Rights. ST does not grant you any permission to use the Materials other than the permission expressly stated in these Terms of Use and in the applicable licensing terms.

Purchase of I2C Components by ST, conveys a license under the Philips I2C Patent. Rights to use these components in an I2C system, is granted provided that the system conforms to theI2C Standard Specifications as defined by Philips.

Indemnification

You agree to indemnify, defend, and hold ST, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or related to any content you submit, post, transmit or make available through the ST Sites, your violation of these Terms of Use, or your violation of any rights of another.

Links to third-party web sites

The ST Sites may provide links to other third-party web sites or resources. These links are provided for your information only. ST makes no representations whatsoever about any other web site which you may access through the ST Site. ST has no control over such sites and resources, and ST is not responsible for the availability of such external sites or resources and is not responsible or liable for any content, advertising, products, services or other materials on or available from such external sites or resources. Linking to our site

Third Party Rights

No other person or entity shall – without our permission - have any rights to enforce any of these Terms of Use.

Survivorship

Termination of your registered account or these Terms of Use, however arising, shall not affect our rights and remedies that have accrued as at termination. Clauses which expressly or by implication survive termination shall continue in full force and effect.

Variation and Assignment

We may revise these Terms of Use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these Terms of Use may also be superseded by provisions or notices published elsewhere on the ST Sites if they are referenced in this page. To the extent practicable and appropriate, registered users will be informed in advance about any revisions to these Terms of Use. We may assign or otherwise transfer our rights and/or obligations (or any part of them) under these Terms to any third party from time to time.

Entire Agreement

The Terms of Use constitute the entire agreement between you and ST and govern your use of the ST Sites, superseding any prior agreements between you and ST relating to your use of the ST Sites. If any provision of these Terms of Use is held to be invalid by any law, rule, order or regulation of any government or by the final determination of any state or federal court, such invalidity will not affect the enforceability of any other provision of the Terms of Use. The failure of ST to exercise or enforce any right or provision of the Terms of Use will not constitute a waiver of such right or provision.

Jurisdiction and applicable law

These Terms of Use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Switzerland, without regard to the conflict of law provisions therein.

The courts of Geneva Switzerland will have exclusive jurisdiction over any claim arising from, or related to, a visit to our site although we retain the right to bring proceedings against you for breach of these Terms of Use in your country of residence or any other relevant country.
